PITSTOPR TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and PitStopr LLC, a Florida limited liability company (“PitStopr,” “Company,” “we,” “us,” or “our”), governing your access to and use of the PitStopr mobile applications, websites, and related services (collectively, the “Platform”).

By accessing or using the Platform, creating an account, or engaging in any services through the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Platform.

Platform Nature and Role

PitStopr operates solely as a technology marketplace that facilitates connections between vehicle owners or operators (“Customers”) and independent automotive service providers (“Technicians”). PitStopr does not perform automotive services, does not employ Technicians, and does not supervise, control, or direct how any services are performed. All automotive services are performed exclusively by independent Technicians, and not by PitStopr.

Nothing in these Terms shall be construed as creating any partnership, joint venture, employment, agency, or fiduciary relationship between PitStopr and any Technician or Customer.

Eligibility and Account Registration

Use of the Platform is limited to individuals who are at least eighteen (18) years of age. By creating an account, you represent and warrant that all information you provide, including contact information, is accurate, current, and complete, and that you will maintain the accuracy of such information at all times.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. PitStopr reserves the right to suspend or terminate any account at its sole discretion for violations of these Terms or applicable law.

Independent Contractor Relationship

All Technicians using the Platform are independent contractors and not employees, agents, or representatives of PitStopr. Technicians retain sole control over the manner, method, and means of performing services, including pricing, availability, tools, parts, and compliance with applicable laws.

Technicians are solely responsible for all taxes, insurance obligations, licenses, permits, and regulatory compliance arising from their services.

Pricing, Payments, and Fees

Payments for services are processed through third-party payment processors, including Stripe Connect. Customer funds may be temporarily held in escrow and released upon confirmation of service completion in accordance with Platform procedures.

PitStopr charges a service fee equal to ten percent (10%) of the transaction amount to Customers and ten percent (10%) to Technicians. Fees may change upon notice.

PitStopr does not collect or remit sales tax on behalf of Technicians. Technicians are solely responsible for all tax obligations. Required tax reporting, including Form 1099 issuance, is handled by the payment processor where applicable.

Cancellations and No-Shows

Customers and Technicians must cancel scheduled services no later than twenty-four (24) hours prior to the scheduled service time. Failure to do so may result in fees, penalties, or account actions at PitStopr’s discretion.

Communications Between Users

In connection with a confirmed service request or work order, PitStopr may enable the sharing of contact information, including phone numbers, between Customers and Technicians for the sole purpose of coordinating, performing, and completing services.

By creating, accepting, or participating in a work order, Users expressly consent to being contacted directly by the assigned Customer or Technician via phone call or text message using the contact information provided. Such direct communications are a fundamental component of the Platform’s functionality.

PitStopr does not monitor, control, record, or assume responsibility for communications that occur directly between Users outside the Platform, including phone calls, text messages, or other off-platform communications.

Users agree not to misuse contact information obtained through the Platform and acknowledge that PitStopr is not responsible for the content, conduct, or outcome of any communications occurring between Users.

Disputes and Refunds

PitStopr may, but is not obligated to, facilitate communication between Customers and Technicians in connection with disputes. Any refund, credit, or adjustment is issued solely at PitStopr’s discretion. PitStopr does not guarantee dispute resolution or outcomes.

No Warranties

To the fullest extent permitted by applicable law, PitStopr disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, workmanship, accuracy, or service quality.

PitStopr does not warrant labor, parts, service outcomes, or Technician performance. All services are provided on an “as is” and “as available” basis.

PitStopr’s limited guarantees extend only to payment processing, escrow handling, dispute intake processes, and Platform functionality, and do not extend to service results.

Safety, Damage, and Injury Disclaimer

To the fullest extent permitted by law, PitStopr disclaims all responsibility and liability for on-site safety conditions, vehicle damage, property damage, personal injury, or death arising from or related to services arranged through the Platform.

Responsibility for such matters rests solely with the Technician performing the service, the vehicle owner or operator, and applicable insurance coverage.

Insurance Verification

Technicians may be required to maintain general liability insurance and garage keepers insurance. While PitStopr may verify the existence of insurance documentation, PitStopr does not provide insurance and does not guarantee the adequacy, validity, or scope of any insurance maintained by Technicians.

Artificial Intelligence Diagnostic Tool

The Platform may offer an artificial intelligence–powered diagnostic feature intended solely for informational purposes. The AI tool does not provide mechanical advice, professional diagnoses, or repair instructions, and no accuracy or completeness is guaranteed.

All final diagnostic determinations, service decisions, and repairs remain the sole responsibility of the Technician and vehicle owner. Use of the AI tool is at the User’s own risk.

User Content

Users may submit reviews, photographs, messages, and other content through the Platform. By submitting such content, Users grant PitStopr a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute the content in connection with Platform operations and marketing.

PitStopr reserves the right to remove or moderate content at its discretion.

Prohibited Conduct

Users may not misuse the Platform, circumvent Platform fees, engage in fraudulent or abusive conduct, misrepresent services, harass others, violate applicable laws, or interfere with Platform operations.

Intellectual Property

All Platform content, software, trademarks, and proprietary materials are owned by PitStopr or its licensors. Unauthorized copying, scraping, reverse engineering, or use of the Platform is prohibited.

Limitation of Liability

To the fullest extent permitted by law, PitStopr shall not be liable for any indirect, incidental, consequential, or special damages. PitStopr’s total liability for any claim shall not exceed the total fees paid to PitStopr by the User during the six (6) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless PitStopr from and against any claims, damages, losses, liabilities, or expenses arising out of your use of the Platform, services performed, communications with other Users, violations of these Terms, or violations of law.

Class Action Waiver

All claims must be brought in an individual capacity and not as a class or collective action. Users may opt out of this waiver within thirty (30) days of account creation by written notice.

Termination

PitStopr may suspend or terminate accounts immediately for violations of these Terms. Provisions relating to liability, indemnification, intellectual property, and dispute limitations shall survive termination.

Fleet Accounts

Business and fleet customers are excluded from these Terms and must enter into separate written agreements with PitStopr.

Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
